We see that all filing requirements are met and we routinely prepare a variety of organizational documents including partnership agreements, corporate by-laws, limited liability company operating agreements and buy/sell agreements. We also assist our clients with financing and capital investment issues.

Every business, no matter how large or small, encounters a host of issues requiring legal assistance. We seek to develop long term relationships with our clients in order to deliver a continuity of services based upon a broad, integrated knowledge of their business. We work with our clients in the preparation, negotiation and interpretation of a full range of commercial and business contracts. We are experienced in leasing and other real estate related matters such as the purchase and sale of commercial properties. We assist in intellectual property matters including trademarks, copyrights and licensing. We are well acquainted with all aspects of institutional and private lending and loan documentation. In challenging business or economic times, we assist our clients with loan modifications and work-outs, deeds-in-lieu of foreclosure and other alternative loan resolution strategies. We provide advice and assistance with corporate governance issues such as director and shareholder meetings, minutes and resolutions as well as guidance and advice on matters involving fiduciary duties and majority / minority ownership relations. When necessary, our commercial litigation group can assist with litigation matters including the prosecution or defense of damage claims, fiduciary duty claims, collections, equity matters and injunctions.
Mergers, Acquisitions and Succession Planning
Whether expanding the business by acquisition or merger, or selling all or any part of the business, we have the expertise and experience to facilitate such transactions, no matter how complex. We frequently assist our clients in both stock and asset purchases and sales. In addition, when the time comes to transition the business to the next generation of owners, whether family, employees or others, working in conjunction with our trust and estate attorneys, we provide guidance and assistance in the development, documentation and implementation of business succession plans.
At Gawthrop Greenwood, we assist our clients in a wide range of employment issues, including the preparation of employee handbooks and manuals and we provide ongoing review to assure compliance with an ever-changing regulatory landscape. We also provide advice and counsel in the preparation, negotiation and, if necessary, enforcement of employment agreements, severance agreements, restrictive covenants and non-competition agreements, on behalf of both employers and employees.
We represent institutional and private lenders and borrowers in a wide variety of real estate and commercial financing transactions that include traditional loans, as well as non-traditional financing such as tax exempt bonds and SBA 504 loans. We are routinely involved in the negotiation, documentation and closing of real estate acquisitions, construction and permanent loans secured by a variety of collateral types including office, residential, industrial, warehouse, medical and retail properties. We are also experienced in ground leasing and leasehold financing, loan participations and tenant-in-common ownership structures.
In addition, we are regularly involved in non-real estate commercial lending transactions, including term loans, revolving lines of credit, letters of credit and asset-based secured loans. We are also familiar with all manner of interest rate indices, as well as rate hedging strategies such as rate swaps.
